By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
2) Changes to the Service or Terms
We may update the Service and these Terms from time to time. If we make changes, we will update the “Last updated” date above. Continued use of the Service after changes become effective means you accept the updated Terms.
3) Accounts and security
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate information and keep it up to date.
- You are responsible for all activity that occurs under your account.
4) Using uAlbums (campaigns, recipients, and content)
A. Recipient links
The Service may allow you to share recipient links (including public links and invited recipient links) to enable recipients to place orders and upload photos. You are responsible for how you distribute links and for the recipients you contact.
B. Contacts and communications
You represent and warrant that you have the right to upload contacts and send communications using the Service and that your use complies with applicable laws and regulations (including anti-spam and consumer protection laws). You are responsible for obtaining any required consents from recipients.
C. Content you provide
You retain ownership of content you upload (such as photos and text). You grant uAlbums a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and process your content solely to operate, provide, and improve the Service (including generating, printing, and fulfilling personalized products).
You represent and warrant that you have all rights necessary to provide the content and that it does not violate any law or infringe any third-party rights.
5) Prohibited use
You agree not to:
- Use the Service for unlawful, misleading, or abusive purposes.
- Upload viruses, malware, or attempt to disrupt or compromise the Service.
- Access or scrape the Service in a way that harms performance or violates reasonable rate limits.
- Infringe intellectual property rights or upload content you do not have rights to use.
- Attempt to bypass security or authorization (including recipient verification rules).
6) Orders, customization, and fulfillment
Products are customized and produced on demand based on information and content provided through the Service. You are responsible for verifying campaign settings, branding, and recipient information before sending links or placing orders.
Shipping and delivery
Delivery dates are estimates and not guaranteed. We are not responsible for delays caused by carriers, weather, customs, inaccurate addresses, or events outside our reasonable control.
Returns and refunds
Because products are personalized, all sales are generally final. If an item arrives damaged or defective, please contact support@ualbums.com and we’ll work with you to resolve the issue.
7) Payments, credits, and taxes
The Service may offer pay-as-you-go pricing and/or prepaid credits. Prices may change from time to time. Taxes may apply and will be shown where required.
- Credits: credits may have an expiration period (for example, 12 months) and may be non-refundable, except where required by law or explicitly stated otherwise.
- Payment processing: payments are handled by third-party processors. You agree to comply with their terms as applicable.
8) Intellectual property
The Service, including its software, design, and trademarks, is owned by uAlbums and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, or distribute any part of the Service.
9) Third-party services
The Service may integrate with third-party services (for example, payment processors or photo providers). We are not responsible for third-party services and your use of them may be governed by their terms and policies.
10) Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, uAlbums disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11) Limitation of liability
To the maximum extent permitted by law, uAlbums will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service.
To the maximum extent permitted by law, uAlbums’ total liability for any claim arising out of or relating to the Service will not exceed the amount you paid to uAlbums for the Service in the twelve (12) months preceding the event giving rise to the claim (or $100, if you paid nothing).
12) Indemnification
You agree to indemnify and hold harmless uAlbums from and against any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your content, or your violation of these Terms or applicable law.
13) Termination
We may suspend or terminate access to the Service if you violate these Terms or if we reasonably believe your use may cause harm to uAlbums, users, or others. You may stop using the Service at any time.
14) Governing law
These Terms are governed by applicable laws, without regard to conflict-of-law principles. Any disputes will be brought in courts of competent jurisdiction, unless a different process is required by applicable law.
